1. Agreement

These Terms & Conditions ("Terms") govern the use of Greg Harrison's AI Visibility Agency platform and services ("Service"). By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

Our Service helps businesses optimize their visibility in AI-powered answer engines by:

  • Building and managing structured business profiles (entity data)
  • Creating and optimizing products, services, FAQs, and content
  • Running AI visibility tests and audits (AEO audits)
  • Generating AI-optimized content and marketing assets
  • Managing distribution channels and competitor tracking
  • Exposing approved client data via public APIs and MCP

The Service is designed to share client business data with AI models. This is not a limitation—it is the core function of the Service.

3. User Roles and Responsibilities

Agency Admin / Super Admin:

  • Full platform access across all clients
  • Responsible for managing client data accuracy and completeness
  • Can invite users, assign roles, and manage platform settings
  • Responsible for ensuring client data is appropriate for AI sharing

Agency Staff:

  • Access to client data and management tools
  • Can create, edit, and approve client content and assets
  • Cannot manage user roles or platform settings

Client Admin / Client Viewer:

  • Access limited to their own linked client's data only
  • Can view reports, audit results, and visibility metrics
  • Client Admin can approve content and FAQs
  • Client Viewer has read-only access
4. Data Ownership and Authorization

Client Data Ownership:

  • The Agency retains ownership of the platform and all tools
  • Clients retain ownership of their business data (company name, profiles, content, etc.)
  • AI-generated content created by the platform is provided to clients for use

Authorization to Share with AI:

By using the Service, you (on behalf of yourself and your clients) authorize us to:

  • Share all client business data with AI models (OpenAI, Google, etc.)
  • Include approved items in the Public AI Index accessible via API and MCP
  • Run AI visibility tests by sending client data to AI systems
  • Generate content and reports using AI models
  • Retain and reuse AI-generated content and data

Third-Party Authorization:

If you provide data on behalf of a third party or client, you represent that you have authority to authorize our data processing practices on their behalf.

5. Prohibited Conduct

You agree not to:

  • Use the Service for illegal, fraudulent, or harmful purposes
  • Upload or create data that violates third-party rights (copyright, trademark, privacy)
  • Attempt to access unauthorized user accounts or admin features
  • Interfere with the Service's operation or security systems
  • Reverse-engineer, decompile, or attempt to extract source code
  • Use automated tools or scripts to scrape or extract large amounts of data
  • Create false or misleading business profiles or impersonate others
  • Share login credentials or allow unauthorized access to your account
6. Intellectual Property

Platform and Tools:

The Service platform, including all features, tools, algorithms, and documentation, is the intellectual property of Greg Harrison. You have a limited license to use the platform according to these Terms.

AI-Generated Content:

Content generated by AI within the platform is provided to you for use in marketing, distribution, and business purposes. You may use, modify, and republish this content. However, you are responsible for accuracy, compliance with laws, and ensuring the content does not violate third-party rights.

Client Data:

Clients retain ownership of their business data. The Agency may use anonymized, aggregated data for analytics and service improvement, but will not identify your business by name in such usage.

7. Fees and Payment
  • Subscription fees are determined by the selected plan (Starter, Growth, Agency Pro)
  • Fees are billed monthly or annually as chosen at signup
  • Payment must be made in advance of the billing period
  • Failed payments may result in service suspension
  • Refunds are not available for partial months or prepaid periods unless specified in a separate agreement
  • The Agency reserves the right to adjust pricing with 30 days' notice
8. Limitation of Liability

The Service is provided "as is" without warranties of any kind.

To the fullest extent permitted by law, the Agency is not liable for:

  • Loss of data, revenue, or business interruption
  • Indirect, incidental, consequential, or punitive damages
  • Accuracy or usefulness of AI-generated content or visibility reports
  • Unauthorized access to or use of your account or data
  • Delays or failures in the Service due to third-party outages (e.g., OpenAI, Google APIs)
  • Data breaches or security incidents beyond the Agency's reasonable control
  • Changes in AI model behavior, algorithms, or availability

In no event shall the Agency's liability exceed the total fees paid in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided on an "as-is" basis. The Agency does not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • AI-generated content will improve your business visibility or revenue
  • AI models will continue to recognize or cite your business
  • Data shared with AI models will not be used for other purposes by those models
  • The Service complies with all applicable laws (users are responsible for compliance)
10. Data Breach and Incident Reporting

In the event of a confirmed data breach, the Agency will:

  • Notify affected users within 30 days of discovery
  • Provide information about the breach and steps taken to secure data
  • Recommend monitoring and protective actions

However, the Agency is not liable for damages resulting from a breach and provides no warranties regarding future security.

11. Termination

Termination by You:

You may terminate your account at any time by contacting the Agency admin. Termination is effective at the end of the current billing period. No refunds are provided for prepaid periods.

Termination by the Agency:

The Agency may suspend or terminate your account if: (a) payment fails, (b) you violate these Terms, (c) your account is inactive for 24+ months, or (d) for any reason with 30 days' notice.

Post-Termination:

Upon termination, access to the platform ceases, but client data already shared with AI models or included in the Public AI Index cannot be recalled.

12. Third-Party Services

The Service integrates with third-party services:

  • OpenAI, Google, and other AI model providers
  • Base44 backend infrastructure
  • OpenStreetMap for location services

These third parties have separate privacy and terms of service. The Agency is not responsible for their practices or compliance.

13. Indemnification

You agree to indemnify and hold harmless the Agency from any claims, damages, or legal fees arising from: (a) your use of the Service, (b) content you upload or create, (c) violation of these Terms, or (d) infringement of third-party rights by your data.

14. Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of New Zealand.

15. Changes to Terms

The Agency may update these Terms at any time. Material changes will be communicated via email or dashboard notification. Continued use of the Service after changes constitutes acceptance.
